Mergers and acquisitions

Debt collection

Legal proceedings

Since the inception of our firm, 75 years ago, our lawyers have been very successful in collecting debts for international and national clients.

More than often, it is necessary to commence proceedings. We know the way to the courts and which proceedings are most effective to collect the debts. Our methods vary from i.a. short summary proceedings, proceedings on the merits of the case and request for insolvency. Our clients vary from car lease companies, banks, landlords, professional debt collecting agencies and foreign insolvency trustees.   

Insolvent debtors

The seamless cooperation between Van den Herik & Verhulst Advocaten's substantial ‘businesses recovery’ practice and our debt collection lawyers has also proven successful in debt collections where the counterpart is on the verge of insolvency or in fact insolvent. Even in those circumstances, it has proven useful to  initiate action.

Recovery and insolvency law

General

Our lawyers are regularly appointed by the court as trustees/liquidators and administrators. This means they have an excellent knowledge of the Bankruptcy Act and other important legislation and regulations for cases in which they are not acting as trustee/liquidator and administrator. This varies from matters concerning bank financing, security and directors' and officers' liability, to tax-related attachments.

More important, our lawyers know the way in an area which is a minefield for other advisers.

Assisting companies in difficulty, their directors/shareholders and asset buyers

We are very regularly engaged by companies in financial difficulty. In these cases we either act for troubled companies or the directors and/or the shareholders.

The ‘twilight period’ prior to entering into a formal insolvency proceeding often leads to pressures, as a consequence of which various parties are inclined to make concessions. This can make the difference between the survival of a business or default. In a survival scenario, it is often possible to secure jobs and secure the obvious benefits of operating as a going concern.

However, in cases where survival is no longer feasible, we provide advice on which insolvency measure is most suitable for the case and limits the damage for stakeholders.

Besides the above, we are regularly engaged to assist buyers who are interested in taking over a company in difficulty either before or after the commencement of an insolvency-proceeding.

The fascinating aspect of this practice is that our experience in that area subsequently attributes to our know how as court appointed liquidator and administrator.

We regularly act for directors of businesses in difficulty who are held liable, for foreign insolvency practitioners and for creditors, including suppliers, as well as other stakeholders.

The nature of the insolvency practice and the circumstance no other form of security is allowed under the rules of the Netherlands Bar Association, may require us to work on the basis of a retainer.

Real estate

Lease and construction

Our lawyers are experienced in assisting lessors of commercial real estate and landlords. Many of our clients are professional parties and our experience has proven to be helpful in solving their problems quickly and accurately. This experience has proven also to be of inestimable value in those cases where we act for tenants and lessees.

We also assist project developers, architects, engineers, construction firms and other commissioning parties in all matters of interest concerning constructions, demolition or project-development. These services include the drafting of contracts and  demanding specific performance and compensation out of court and in court if necessary.

Areas of expertise: fraud prevention and invitations to tender

We have lawyers in the property practice group who are exceptionally well-informed with regard to fraud prevention. We assist banks and other stakeholders that have been victims of mortgage fraud and fraudulent A-B-C transactions.

We also assist contracting parties and tenderers in procurement processes and disputes.

In lease law and procurement law, but also increasingly in construction law, the need to institute legal proceedings is unfortunately unavoidable. Family law

Advice

Our family law lawyers specialise in assisting with divorces, the termination of cohabitation, drafting parenting plans/agreements and analysing prenuptial/postnuptial agreements. We also assist with changes to maintenance, guardianship, custody and inheritance issues; and we regularly conduct legal proceedings in connection with administration orders and guardianship.

We have a deep appreciation of the fact emotions can play a major role in these matters and we are trained in managing these effectively and with sensitivity.

Mediation

We also have specific experience as a mediator. These techniques have proven also to be useful in advisory services and legal proceedings.

Collaborative divorce

Our  membership of and the courses provided by Collaborative Divorce Holland allow us to offer new ways in which divorces can be arranged.

Legal proceedings

We do not avoid legal proceedings if these are the only way to achieve a solution or break though. We regularly assist our clients in legal proceedings and choices to be made during the process. Our knowledge and experience acquired from advisory services/mediation and experience as deputy justice, helps us to ensure that legal proceedings take no longer than necessary.
